This Site is provided strictly for general informational, educational, catalog browsing, and initial inquiry purposes regarding Skytorch’s AI hardware distribution, bill of materials (BOM) sourcing, component staging, and supply chain logistics capabilities.

No Binding Offers or Stock Guarantees: Nothing on this Site—including listed component categories, SKU specifications, compatibility claims, estimated pricing, or RFQ intake forms—constitutes a binding commercial offer, unilateral contract, or firm hardware allocation. Hardware availability, lead times, and unit pricing fluctuate dynamically based on global component availability and market demand.

Formal Procurement Contracts Required: All binding commercial sales, hardware purchases, purchase orders (POs), volume supply allocations, warranties, and deployment logistics are governed exclusively by separate, negotiated, and fully executed written bilateral contracts—specifically, a Master Hardware Supply Agreement (MHSA), formal Quotation, and bilateral Purchase Order sign-offs executed by authorized corporate officers of Skytorch and the commercial buyer.

No Reliance: Skytorch disclaims all liability for commercial expectations, project scheduling commitments, or financial commitments made on the basis of preliminary RFQ estimates, catalog listings, or non-binding communications initiated on this Site.

2. INTELLECTUAL PROPERTY AND BRAND MARKS

All content, product taxonomies, component descriptions, graphics, logos, interface designs, text, scripts, and software architecture displayed on this Site are the sole and exclusive intellectual property of Skytorch or its licensors, protected by United States and international copyright, trademark, trade secret, and unfair competition laws.

Skytorch Trademarks: "Skytorch," "Skytorch.us," and related logos, stylized marks, and slogans are proprietary marks of Skytorch. You may not display, copy, or use these marks without our prior express written permission.

3. PROHIBITED ACTIVITIES AND PERMITTED USE

You are granted a limited, non-exclusive, non-transferable, and revocable license to access the Site solely for evaluating hardware procurement, BOM sourcing, and enterprise supply partnerships. You agree not to:

Deceptive Inquiries: Submit fraudulent RFQs, fabricated bills of materials, or misleading corporate identity information through our submission portals.

Market Disruption & Scraping: Employ scrapers, automated crawlers, bots, or extraction scripts to harvest SKU catalogs, technical descriptions, or market pricing structures from this Site.

Malicious Tampering: Introduce or distribute viruses, worms, logic bombs, or any code intended to degrade, exploit, or disrupt the operation, security, or integrity of the Site or its underlying servers.

Reverse Engineering: Attempt to reverse-engineer, decompile, or reconstruct any software, backend logic, or quoting workflows utilized on the Site.

Unauthorized Framing: Frame the Site, embed its pages within third-party domains, or utilize meta tags incorporating the Skytorch brand without express prior written approval.

YOUR USE OF THIS SITE AND ANY PRELIMINARY DATA OBTAINED THROUGH IT IS ENTIRELY AT YOUR OWN RISK.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER CALIFORNIA LAW, IN NO EVENT SHALL SKYTORCH, ITS SUBSIDIARIES, AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, OR AGENTS BE LIABLE FOR ANY DAMAGES OF ANY NATURE ARISING OUT OF YOUR ACCESS TO, OR INABILITY TO USE, THIS SITE OR ITS INQUIRY FORMS.

THIS EXCLUSION COVERS:

INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL GROUNDS (CONTRACT, TORT, STRICT LIABILITY, OR NEGLIGENCE), EVEN IF SKYTORCH HAS BEEN ADVISED OF THE POTENTIAL FOR SUCH LOSSES. IN NO CIRCUMSTANCE SHALL SKYTORCH'S AGGREGATE LIABILITY ARISING FROM USE OF THE PUBLIC SITE EXCEED USD $100.00.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Skytorch, its corporate affiliates, officers, directors, employees, and agents against all liabilities, losses, judgments, damages, costs, and legal fees (including reasonable attorneys' fees) arising out of or resulting from your breach of these Terms, unauthorized use of Site assets, or deceptive data submitted via RFQ or partner intake forms.

8. GOVERNING LAW AND JURISDICTION

These Terms, along with any dispute, controversy, or claim arising out of your use of this Site, shall be governed by, construed, and enforced under the laws of the State of California, without giving effect to conflict of laws principles.

You explicitly agree that any legal suit, claim, or proceeding arising under these Terms shall be instituted exclusively in the state or federal courts located within Santa Clara County, California, and you irrevocably submit to the personal and subject-matter jurisdiction of those courts.

9. SEVERABILITY AND INTEGRATION

Should any provision of these Terms be adjudicated invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain fully in force and effect. These Terms, combined with our Privacy Policy, constitute the full understanding between you and Skytorch regarding access and use of the public Site.
